Proposed change to the HLCC bylaws
To keep up with the times, and especially in view of social distancing, the HLCC board would like to be able make decisions by e-mail. We propose the following addition to our bylaws:
Section 4. The President may call for an electronic vote of the Board for urgent or time sensitive matters that cannot wait until the next meeting of the Board and where holding a meeting of the Board is not feasible. The President shall communicate the need for a vote and the issue at hand to the Board via e-mail. All members of the Board will be allowed one vote and voting by proxy shall not be allowed. Decisions of the Board are by majority vote of those who cast a vote electronically. When possible, the President shall allow the Board at least 24 hours to vote from the time the President communicates the need for an electronic vote.
